These Terms and Conditions of Sale apply, without restriction or reservation, to any purchase of the services offered under the Roona brand by CLEO IA, a French SAS registered with the Bourg-en-Bresse Trade and Companies Register under number 995 370 319 (the Provider), to business customers (the Customer) on the roonaworks.com site. The Customer declares having read these Terms and accepted them before starting the online ordering process.
RoonaWorks is a SaaS virtual assistant service based on artificial intelligence. It supports document analysis, assisted writing and task automation, among other things. The service is provided as-is and is available 24/7, except during maintenance.
The Service is offered as a monthly subscription with no minimum term, renewing automatically. The Customer may order additional credits (Packs) at any time.
Services are supplied at the prices in force on the site at the time the order is registered. Prices are stated in Euros excluding VAT. VAT is applied at the rate in force. For business customers established in another EU Member State and holding a valid VAT number, the reverse charge mechanism applies. Payment is made by card through our secure payment provider, Stripe. The subscription price is payable in full, monthly, at the start of each period. Credit Packs are payable in a single instalment on ordering. For business customers established outside the European Union, the service is invoiced without French VAT; the Customer is responsible for any taxes due in their own country.
A free 14-day trial period is offered to new users, including a limited usage allowance (25 credits). No billing occurs during this period. At the end of the trial, access is restricted unless a paid plan is taken out.
The Customer remains the sole owner of the data and documents supplied (Input). The Customer holds all intellectual property rights over the content generated by the AI (Output) within the Service. The Provider retains exclusive ownership of the platform, its architecture, its user interface and its source code, together with the Roona and RoonaWorks brands.
The Provider is bound by an obligation of means. It applies state-of-the-art technologies to deliver the most relevant results possible. The Customer nonetheless acknowledges that AI can make mistakes (hallucinations). The Customer is solely responsible for checking, validating and using the documents and information generated by the Service.
The Customer may terminate the subscription at any time from their account. Termination takes effect at the end of the current monthly subscription period. No pro-rata refund is given.
These Terms are governed by French law. In the event of a dispute, and failing an amicable settlement, jurisdiction is given to the courts within the jurisdiction of the Paris Court of Appeal.
